| Mr Liming Chen
| On May 1st, 2012, the Board of Directors of Kandi Technologies Group Inc approved the appointment of Mr. Chen Liming, age 75, as a director effective May 1st, 2012. Mr. Chen serves as an advisor to AA Win & Solar Energy Development Group, LLC .USA since May, 2009. Between February, 2009 and October, 2010, Mr. Chen participated in the development of super mini three seats pure electric vehicle with Mr. Qiu Youmin, the former designer of Geely Automobile Co., Ltd. From June, 2008 to July, 2009, Mr. Chen participated in the development of Lithium Iron Phosphate Battery with Shanghai Yuankai Group. From January, 2007 to February, 2008, Mr. Chen was responsible for a major technology development project of Zhejiang province on “Key Technology Studies for Electric Vehicle”. Mr. Chen was a Professor at Electrical Engineering Department of Zhejiang University with a focus of new energy and electronic vehicles from 1983 to 1997 in Zhejiang, China. From 1981 to 1983, Mr. Chen was a visiting scholar at Electrical Engineering Department of Columbia University in New York City. From 1960 to 1981, Mr. Chen taught at Electrical Engineering Department of Zhejiang University in Zhejiang, China. Mr. Chen received his bachelor degree from Southeast University in Jiangsu, China in 1960. |
| Mr Jingsong Qian
| Mr Jingsong Qian was appointed as a director at Kandi Technologies Group Inc January 31, 2011. In addition, since October 2009, Mr. Qian has served as Deputy General Manager of Zhejiang Kandi Vehicles Co. Ltd. Prior to joining the Company, from October 2006 to October 2009, Mr. Qian served in multiple capacities for Chery Karry Automobile, including Head of the Engineering Construction Group (2006-2007), Vice Manager of the Q21 Project (2007), Assistant General Manager of the Production Management and Integrated Management Departments (2007-2010). During his tenure at Chery Karry Automobile, Mr. Qian was in charge of quality assurance and participated in strategy, planning and product development work for Chery mini-cars. From August 1999 to September 2006, Mr. Qian served as Deputy General Manager and Executive General Manager of Anhui Huayang Auto Manufacturing Co., LTD, where he oversaw technical improvement, product development, administrative personnel, and external affairs. Mr. Qian received a degree in Professional Ordnance from the Aerospace Staff University in Nanjing, China in 1983. |
| Mr Henry Yu
| Mr Henry Yu is a member of board of directors at Kandi Technologies Group Inc since July 1, 2011. Mr Yu serves as Senior Vice President of the East West Bank. Prior to his current position, Mr Yu served as the President of Shanghai Bosun Capital Advisors in Shanghai, China from January to June 2011. From January 2008 to December 2010, Mr Yu served as a senior manager of Standard Chartered Bank in China. From November 1999 to December 2007, Mr Yu served as Managing Director of Global Trade Solutions of SunTrust Bank in Atlanta, Georgia. Currently, Mr Yu serves as Chair of the Advisory Board of the National Association of Chinese-Americans and serves as an Advisor to China’s Federation of Overseas Chinese. Since 2009, Mr Yu has served as an International Advisor to Sichuan University Suzhou Institute, and, since 2004, Mr Yu has served on the Foundation Board Trustee of Georgia Perimeter College. From 2003 to 2007, Mr Yu held Series 7 and 62 Certifications from the Financial Industry Regulatory Authority. Mr Yu received his Bachelor of Arts degree in Economics from the University of Michigan in 1978 and his MBA in Finance from the University of Detroit in 1980. |

Prior to his retirement in July 2005, Mr Decker was the senior partner in charge of PricewaterhouseCoopers LLP’s Global Capital Markets Group. He led a team of more than 300 professionals in 25 countries to provide technical support to non-US companies on SEC regulations and U.S. GAAP reporting and assistance with the Sarbanes-Oxley Act compliance work. Mr. Smitham retired from his position as a Partner of the private equity firm Permira on December 31, 2009, but he remains a member of Permira Advisers LLP, which he joined in 1985, the year the London office was founded. Mr. Smitham was the Managing Partner of the London office from 1994 until 1998 and led Permira’s European business from 1996 until 2000. He has worked on numerous transactions focusing on electronics and turnarounds, including Memec Group Holdings Limited, The Roxboro Group, Solartron Group and Technology plc. He has a degree in Geography from Swansea University, Wales, and attended the Senior Executive Program at Stanford Business School. |

| Mr Neil Nanpeng Shen is a member of board of directors at Qihoo 360 Technology Co Ltd since 2006. Mr Shen is the founding managing partner of Sequoia Capital China. Prior to founding our company, Mr Zhou was a partner at IDG Ventures Capital since September 2005, a global network of venture capital funds, where he assisted small- to medium-sized software companies in sourcing funding to support their growth. Mr Zhou was the chief executive officer of Yahoo! China from January 2004 to August 2005. In 1998, Mr Zhou founded www.3721.com, a company engaged in Internet search and online marketing business in China, and served as its chairman and chief executive officer until www.3721.com was acquired by Yahoo! China in January 2004. Mr Zhou is an independent director and a member of the compensation committee of AutoNavi Holdings Limited, a NASDAQ-listed company and a provider of digital map content and navigation and location-based solutions in China. | ZHANG Yingmin, a researcher in engineering technology application with an EMBA degree, has been the executive deputy general manager of the Company and a director of Yankuang Group since 2002 and 2004, respectively. Mr. Zhang joined the Company’s predecessor in 1971, appointed as the director of the division of production technology of Yankuang Group in 1996 and became the head of Baodian Coal Mine in 2000. He was also appointed deputy general manager of Yankuang Group in 2003 and the chief of the safety supervision bureau of the Company from 2004 to 2007. Mr. Zhang is a graduate of Nankai University. |

| On March 16, 2011, Quan Zhou, Ph. D. was appointed as a member of the Board of Directors of Memsic Inc, to serve as a Class III director for a term ending at our 2013 annual meeting of stockholders. Dr Zhou is a Managing Director and General Partner at IDG Capital Partners, whose affiliated funds are stockholders of the Company. Dr Quan Zhou is a member of board of directors at SouFun Holdings Ltd since 2000. Dr Zhou’s relationship to these stockholders is described in a Schedule 13G/A filed with the Securities and Exchange Commission on February 2, 2010. Dr Zhou has not been appointed to any committees of the Board of Directors and there are no arrangements or understandings between Dr Zhou and any other persons pursuant to which he was elected to serve on the Board. Dr Zhou will receive compensation in accordance with the terms of our compensation policy for directors. |

| Vincent Tianquan Mo is founder of SouFun Holdings Ltd. Also he has served as the Chairman of the Board of Directors at SouFun Holdings Ltd since 1999. Prior to founding our Company, Mr Mo served as an executive vice president at Asia Development and Finance Corporation from 1996 to 1998 and a general manager for Asia at Teleres, a venture of Dow Jones & Co. and AEGON USA to provide online commercial real estate information services, from 1994 to 1996. He currently serves as a director on the board of directors of Shun Cheong Holdings Limited, a Hong Kong-listed company, and is the secretary general of the China Real Estate Index System, a real estate research publication operated by us.
