Riyadh – Mubasher: Academy of Learning Company has announced the appointment of its Board of Directors leadership and the formation of its specialized subcommittees for a new four-year term.
The decision follows the Ordinary General Assembly meeting held on 2 June, which saw the election of board members for a cycle that officially commenced on 16 June. This new governance period is scheduled to conclude on 15 June 2030, marking a significant phase of administrative continuity and oversight for the educational institution.
During a board meeting, which coincided with the first day of the new term, the directors resolved to appoint Khalid bin Mohammed Al Ammar as the Chairman of the Board. Al Ammar serves in a non-executive capacity.
To support the board’s leadership, Mohammed bin Abdullah Al Ajlan was appointed as the Vice Chairman, serving as an independent member.
Furthermore, the board designated Manar bint Othman Al Doukhi as the Secretary of the Board of Directors, ensuring the administrative coordination of the company’s highest governing body.
In a move to strengthen corporate governance and internal controls, the company detailed the composition of its Audit Committee. The committee is chaired by Hamoud bin Saud Al Harbi, an independent member from outside the board.
He is joined by Sadoun bin Khalid Al Khalidi, an independent board member, and Saad bin Abdulrahman Al-Jammaz, who also serves as an independent member from outside the board. This structure aligns with regulatory requirements for independent oversight of financial reporting and internal audit functions.
The board also finalized the membership of the Remuneration and Nominations Committee. Sadoun bin Khalid Al Khalidi was appointed as the Chairman of this committee. The other members include Chairman Khalid bin Mohammed Al Ammar and Nasser bin Abdulrahman Al Zamil, who serves as an independent director. This committee is tasked with overseeing the selection of board candidates and the development of compensation policies for the company’s leadership.
