Academy of Learning mulls capital raise via bonus shares

Riyadh — Mubasher: Academy of Learning Company’s board of directors has recommended increasing the capital by 16.67% to support strategic growth and expansion objectives.

Under the proposal, the company will raise its capital from SAR 135 million to SAR 157.50 million.

The increase will be executed through the issuance of one bonus share for every six existing shares held by shareholders.

To fund the capital hike, Academy of Learning will capitalize SAR 22.50 million from its retained earnings balance as of 30 June 2026.

Consequently, the total number of shares will rise from 135 million to 157.50 million.

The company stated that the bonus issue follows a previous interim cash dividend distribution of SAR 13.50 million, equivalent to SAR 0.10 per share, for the first half (H1) of the FY.

Eligibility for the bonus shares will be determined on the day of the Extraordinary General Meeting (EGM), which is subject to regulatory approvals.

Fractional shares, if any, will be consolidated and sold at market price, with proceeds distributed to eligible shareholders within 30 days of the allocation date.
